Services Covered<\/strong><\/h2>\n<p>This Policy applies to services offered by the Company, including but not limited to:<\/p>\n<ul>\n<li>Computer hardware maintenance and repairs<\/li>\n<li>Software installation and updates<\/li>\n<li>IT consultation and troubleshooting<\/li>\n<li>Network installation and administration<\/li>\n<li>Data backup, recovery, and cybersecurity solutions<\/li>\n<li>Technical support and remote assistance<\/li>\n<\/ul>\n<hr \/>\n<h2><strong>5. Contractual Terms<\/strong><\/h2>\n<h3>5.1 Formation of Contract<\/h3>\n<p>A contract is deemed valid under the Indian Contract Act, 1872 when:<\/p>\n<ul>\n<li>A service quote is issued by the Company;<\/li>\n<li>The Client communicates acceptance (in writing, email, or electronic means under Section 10A of the IT Act);<\/li>\n<li>Consideration (i.e., payment) is agreed upon.<\/li>\n<\/ul>\n<h3>5.2 Electronic Records and Signatures<\/h3>\n<p>All electronic agreements, digital communications, and e-signatures executed under this Policy are valid and enforceable under Sections 4 to 10A of the <strong>Information Technology Act, 2000<\/strong>.<\/p>\n<hr \/>\n<h2><strong>6. Payment Terms<\/strong><\/h2>\n<h3>6.1 Advance &amp; Final Payment<\/h3>\n<ul>\n<li><strong>50% advance payment<\/strong> is required before project initiation.<\/li>\n<li><strong>50% balance<\/strong> is payable upon delivery\/completion of services.<\/li>\n<\/ul>\n<h3>6.2 Mode of Payment<\/h3>\n<p>Accepted payment methods: NEFT, UPI, IMPS, Cheque (subject to clearance), or approved online gateways.<\/p>\n<h3>6.3 Late Payment Penalty<\/h3>\n<p>Overdue payments attract a <strong>penalty interest of 1.5% per month<\/strong>, compounded monthly. The Company reserves the right to suspend or terminate services for non-payment.<\/p>\n<hr \/>\n<h2><strong>7. Timelines and Delivery<\/strong><\/h2>\n<p>The Company shall make best efforts to meet agreed deadlines but shall not be held liable for delays caused by:<\/p>\n<ul>\n<li>Client-side dependencies<\/li>\n<li>Acts of God or force majeure events<\/li>\n<li>Third-party service providers<\/li>\n<li>System failures beyond reasonable control<\/li>\n<\/ul>\n<hr \/>\n<h2><strong>8. Confidentiality and Data Security<\/strong><\/h2>\n<p>The Company shall maintain confidentiality of all proprietary or sensitive data shared by the Client. Any data collected or processed will be handled per applicable Indian data protection rules. The Client shall also ensure not to share unauthorized third-party data.<\/p>\n<hr \/>\n<h2><strong>10. Warranties and Limitation of Liability<\/strong><\/h2>\n<h3>10.1 Warranties<\/h3>\n<p>The Company warrants that:<\/p>\n<ul>\n<li>Services will be delivered with reasonable care and skill<\/li>\n<li>Any proprietary software\/tools provided are virus-free and operational at the time of delivery<\/li>\n<\/ul>\n<h3>10.2 Limitation of Liability<\/h3>\n<p>The Company\u2019s liability shall be limited to the amount paid by the Client under the respective agreement.
